The International Business Companies Act 1994 is the actual law governing the formation of the most popular type of company – an International Business Company (IBC).

Confidentiality and Anonymity

Confidentiality and anonymity are the hallmarks of a Seychelles IBC. Information concerning the company’s beneficial owners, directors and shareholders are NOT to be found in any public Register.

The only documents to be found in the Public Register are the Memorandum of Association and Articles of Association. These documents contain no information about the shareholders of the company or the beneficial owners.

Seychelles has not entered into any bilateral agreements with other jurisdictions regarding the sharing of information. The duty of confidentiality is firmly rooted in the country’s corporate and business legislation.

Panama Companies

Hong Kong Companies

Company Formation

ANGLO can incorporate a Hong Kong company with a name of your choice. We can do this quickly and efficiently. Incorporation of a limited company takes approximately 3-4 weeks.

In addition we can manage the company on your behalf, provide your Registered Office and have our Hong Kong partner act as your Company Secretary. We can also provide nominee Directors and Shareholders of the company.

Capital and Shareholders

A Hong Kong company has a standard authorized capital of HK$ 10,000 and an issued capital of HK$ 1.00. Hong Kong residency is not required for the shareholder(s) of a Hong Kong company, and the shares can be held by individuals of any nationality or a corporation.

Where the actual beneficial owners do not wish their interests to be on record, our nominee shareholder services are available.

A shareholder and director can be the same individual or corporation.

Constitution

A private limited company requires two documents – Memorandum of Association and Articles of Association. The Memorandum sets out the actions and activities that can be legally undertaken by the company. In the Articles rules are listed as to how the company should be managed.

Directors

Every Hong Kong company must have a least one director, who does not have to be a Hong Kong resident and who can be either an individual of any nationality or a corporation.

We can also act as a nominee director of the company if required.

Company Secretary

The company must have a Company Secretary who is either an individual who ordinarily resides in Hong Kong, or a corporate body, which has its registered office or a place of business in Hong Kong. The Company Secretary is responsible to the Registrar of Companies for administrating the company’s statutory record. Our partner in Hong Kong can act as the Company Secretary and prepare the AGM documents as well as file the Annual Return.

Accounting, Auditing and Tax Compliance

Every Hong Kong company is required by law to prepare Annual Accounts .. It is also required to attend to various tax filing matters. Our Hong Kong partner can handle the bookkeeping of accounts, financial reporting, auditing and tax compliance.

British Companies

Incorporation and administration

Incorporation and administrationwill be carried out by ANGLO in conjunction with a firm of chartered accountants.

Share capital

The authorised share capital is typically £100. Of this share capital only one share of £1 is ordinarily issued.

Ownership

The company’s capital can be owned personally, by a company or by a trust. A nominee agreement, (a Declaration of Trust), is then entered into between the legal owner (the beneficial owner) and the company or person who is named as the nominated owner (the nominee).

This construction is often used when you wish to hide the ownership of the company. ANGLO often acts as nominee, giving the legal owner absolute anonymity.

Management

The company must have at least one director. ANGLO can facilitate the appointment of a British domiciled director.

Registered office

All British companies must legally have an official registered address in the UK, where the company’s share register may be viewed and where official documents can be sent to. The address is often different from the company’s business address.

Bank account

It is difficult to open a bank account in the UK due to very stringent money laundering regulations.

ANGLO can open bank accounts for non-domiciled foreigners once KYC, compliance and other terms and conditions are met. ANGLO use Barclays Bank and HSBC.

Internet banking,  debit card and multi-currency accounts  are also available.

Accounts and auditing

An active British company is obliged to submit a set of accounts to the British Company Register annually. The company’s books and records are normally audited by a British based firm of chartered accountant. ANGLO requires all clients to register with a firm of chartered accountants. ANGLO can organise this if required.

ANGLO will instruct their accountants to prepare the legally required accounts and communicate with the British tax and customs authorities.

Tax and VAT

Corporation tax in the UK is 21 % on net profits of up to £300,000. Above that the tax rate gradually rises to 28% for companies with an annual turnover of between £300,000 and £1,500,000.

VAT registration is not required below an annual turnover of £67,000. VAT registration can only be applied for after the company has acquired a British bank account. As it can take several weeks for the VAT registration to come through, ANGLO recommends the application for VAT registration as soon as the British bank account has been opened.

ANGLO can also arrange a temporary EORI registration for goods imported from countries outside the EU.

Seychelles International Trust

The Settlor

The settlor is the person who transfers his/her assets to establish the trust ( to a trustee for the benefit of the beneficiaries).

The Trustee/s

An International Trust must have a Seychelles resident trustee who holds a valid trustee services license issued by the Seychelles International Business Authority. It is permissible to appoint a non-resident co-trustee.

The trustees must operate in the best interests of the beneficiaries, and breaches their legal duty if they fail to exercise a sufficient level of care. The trustees must obey the directions in the Trust Deed and must account for all transactions. A trustee is entitled to make reasonable charges. A trustee’s actions are strictly controlled by law.

The Beneficiaries

The settlor decides who he/she wishes to benefit under the terms of the Trust – who will be specified as beneficiaries, and how they are to benefit. A settlor may wish to nominate family members as beneficiaries who could benefit upon the settlor’s death, or  to assist with school fees or university education.

Settlor’s wishes

The trustees administer the trust at their discretion. A letter or expression of “wishes” is provided by the settlor, setting out his/her wishes in relation to administration of the trust. In practice, the trustees will operate in accordance with the Letter of Wishes but are not legally bound to do so. It acts as a guide to the trustees.

The Protector

Some settlors appoint a protector (often a professional advisor known to the settlor or close member of family) to oversee operation of the trust. While a protector does not control a trust, the protector can be given veto power on certain trust decisions – the addition or removal of a beneficiary by the trustee. A protector may also be given power to remove or appoint trustees.

All documents such as settlor’s Letter of Wishes and Powers of  Protector will be drafted by ANGLO Corporate Services in close corporation with the settlor.

Offshore Credit Cards
Getting a credit card can be difficult. Rules laid down by Visa and MasterCard stipulate that normal credit cards are usually only available to residents in the country the bank operates from.

However offshore banks have overcome this in two ways

1. By guaranteeing secured credit cards – these are Visa or MasterCard which are guaranteed by cash you have on deposit. The available credit line will be dependent on the amount of cash on deposit.
2. Deferred debit card. You can choose your own monthly spending limit. The bank takes a lien of 1.5 times the amount of the monthly card limit as security.

Conclusion
